1. Description of Services

The Brobot LLC provides cloud-based software and communications infrastructure designed to help businesses automate and manage customer communications.

Services may include, but are not limited to:

• AI-powered voice communications
• SMS messaging and automation
• Call routing and automation
• Call recording and transcription
• Communication workflow automation
• CRM integrations
• SIP connectivity for external devices
• Brobot One Service provided by The Brobot LLC

These services provide software and communications infrastructure only.

The Brobot LLC does not originate communications independently and does not control the content, recipients, legality, or timing of communications sent by users of the platform. Users are solely responsible for communications sent through the services.

2. Brobot One Service

Brobot One Service provided by The Brobot LLC may allow users to connect external telephony devices, including SIP-enabled desk phones or other compatible hardware.

These devices connect to the Brobot platform through SIP handoff or similar integrations and function solely as external communication endpoints.

The Brobot One Service is provided as software-based communications infrastructure and is not intended to replace traditional telephone service.

External devices connected to the Brobot platform are considered user-managed equipment and remain the responsibility of the user.

3. No Telecommunications Carrier Status

Services provided by The Brobot LLC, including Brobot One Service provided by The Brobot LLC, are offered as software-based communications infrastructure and technology services.

The Brobot LLC is not a telecommunications carrier, telephone company, or interconnected VoIP provider and does not provide traditional telephone services.

The platform enables users to connect communications systems, automate messaging, and integrate external telephony devices, including SIP-enabled hardware, but The Brobot LLC does not operate or control public telecommunications networks.

Users acknowledge that:

• Services provided by The Brobot LLC are software tools used to facilitate communications
• The Brobot LLC does not provide regulated telecommunications services
• The Brobot LLC does not guarantee access to public switched telephone networks (PSTN) or emergency calling services
• Users remain solely responsible for maintaining any required telecommunications services necessary for their business operations

Nothing in these Terms shall be interpreted to classify The Brobot LLC as a telecommunications carrier, common carrier, or provider of regulated voice services.

4. Emergency Services (E911) Limitation

Services provided by The Brobot LLC, including Brobot One Service, may utilize internet-based communication technologies and SIP connectivity.

Users acknowledge and agree that:

• Services provided by The Brobot LLC are not a replacement for traditional telephone services
• Emergency calling services, including E911, may not be available through the platform or through SIP-connected devices
• Desk phones or other hardware connected through SIP or external integrations should not be relied upon for emergency communications
• Emergency calls made through the platform may fail, be misrouted, or not transmit accurate location information
• Users must maintain an alternative telephone service capable of contacting emergency services, such as a mobile phone or traditional telephone line

By using services provided by The Brobot LLC, including the Brobot One Service, users acknowledge that:

• Emergency services may not function through the platform
• Location data may not be transmitted to emergency responders
• Emergency calls may not connect to the appropriate public safety answering point

The Brobot LLC shall not be liable for any claims, damages, injuries, or losses arising from the inability to place emergency calls using the platform or connected devices.

5. Account Registration

To access certain services, users may be required to create an account.

Users agree to:

• Provide accurate and complete information
• Maintain the confidentiality of account credentials
• Be responsible for all activities conducted through their account

The Brobot LLC reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

6. User Responsibilities and Legal Compliance

Users agree to comply with all applicable laws and regulations when using services provided by The Brobot LLC, including but not limited to:

• The Telephone Consumer Protection Act (TCPA)
• A2P 10DLC messaging regulations
• The CAN-SPAM Act
• State telemarketing laws
• Privacy and data protection laws
• Call recording consent laws

Users are solely responsible for obtaining proper consent before contacting individuals through the platform. The Brobot LLC does not verify consent and assumes no responsibility for communications sent by users.

7. Acceptable Use

Users may not use services provided by The Brobot LLC to:

• Send unlawful or unsolicited communications
• Engage in spam or phishing
• Violate telecommunications regulations
• Distribute malicious or deceptive content
• Conduct fraud or illegal activity
• Harass or abuse individuals

The Brobot LLC reserves the right to suspend or terminate accounts involved in prohibited activities.

8. SMS Messaging Terms

The Brobot LLC platform may allow businesses to send SMS messages to customers.

When opting in to receive SMS communications:

• Message frequency may vary
• Message and data rates may apply
• Recipients may opt out of SMS communications at any time by replying STOP
• For assistance, recipients may reply HELP

Businesses using the platform are responsible for obtaining appropriate consent before sending SMS communications. The Brobot LLC does not engage in third-party lead generation or affiliate marketing messaging.

9. Call Recording Compliance

The Brobot LLC platform may allow users to record calls or generate transcripts. Users are responsible for complying with all applicable call recording laws and for obtaining consent when required. The Brobot LLC assumes no responsibility for users' compliance with recording laws.

10. Fees and Billing

Certain services may require payment.

By purchasing services from The Brobot LLC, users agree to:

• Pay all applicable fees
• Maintain valid payment information
• Authorize recurring billing where applicable

Failure to pay fees may result in suspension or termination of services. All fees are non-refundable unless required by law.

11. Intellectual Property

All technology, software, content, and systems provided by The Brobot LLC remain the exclusive property of The Brobot LLC. Users are granted a limited, non-exclusive, non-transferable license to use the platform.

Users may not:

• Reverse engineer the platform
• Copy or reproduce software
• Resell the platform without authorization
• Attempt to bypass security systems

12. Data Responsibility

Users retain ownership of data submitted through the platform. By using services provided by The Brobot LLC, users grant permission for data processing necessary to operate and improve the platform. Users are responsible for ensuring their data complies with applicable laws.

13. Service Availability

Services are provided on an "as is" and "as available" basis. The Brobot LLC does not guarantee uninterrupted or error-free service.

Service interruptions may occur due to:

• Telecommunications carrier issues
• Infrastructure outages
• System maintenance
• Third-party service failures
• Events beyond our control

14. Disclaimer of Warranties

To the maximum extent permitted by law, services provided by The Brobot LLC are offered without warranties of any kind, express or implied. This includes warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted service.

15. Limitation of Liability

To the maximum extent permitted by law, The Brobot LLC shall not be liable for indirect, incidental, consequential, or punitive damages, including:

• Loss of revenue
• Loss of profits
• Loss of business opportunities
• Loss of data
• Service interruptions

The total liability of The Brobot LLC for any claim arising from use of the services shall not exceed the amount paid by the user to The Brobot LLC during the previous twelve (12) months.

16. Indemnification

Users agree to indemnify, defend, and hold harmless The Brobot LLC, its owners, employees, partners, and affiliates from any claims, damages, liabilities, losses, or expenses arising from:

• Use of the platform
• Communications sent through the platform
• Violations of telecommunications laws
• Disputes with message recipients
• Violations of these Terms

17. Arbitration and Dispute Resolution

Any dispute arising from these Terms or the services provided by The Brobot LLC shall be resolved exclusively through binding arbitration.

Users waive the right to:

• Participate in class actions
• File lawsuits in court
• Request jury trials

Arbitration shall occur in the jurisdiction where The Brobot LLC operates unless otherwise required by law.

18. Privacy

Use of the services is also governed by the Privacy Policy of The Brobot LLC, which explains how information is collected and handled.

19. Modifications to Terms

The Brobot LLC may update these Terms periodically. The updated Terms will become effective once posted on the website. Continued use of services indicates acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which The Brobot LLC operates.
